 note = {Activities of legal persons may cause harmful consequences that require the legal framework to respond. This study helps to clarify some theoretical legal issues in Cambodian laws on the criminal liability of legal persons. It argues that organs and representatives are not always high organs or high ranking officials of legal persons. They are assigned by legal persons; their work is performed in the course of assignment and not for private benefit. This reveals that the criminal liability of legal persons in Cambodia is similar to the vicarious liability mode rooted in tort law. However, the application of vicarious liability to criminal liability of legal persons should take into consideration the different nature of civil and criminal liability.},
