This study helps to clarify some theoretical legal issues in Cambodian laws on the criminal liability of legal persons. It argues that organs and representatives are not always high organs or high ranking officials of legal persons. They are assigned by legal persons; their work is performed in the course of assignment and not for private benefit. This reveals that the criminal liability of legal persons in Cambodia is similar to the vicarious liability mode rooted in tort law.
